SAFENSOUND LLC — TERMS OF USE

PLEASE READ THESE TERMS OF USE (“TERMS”) CAREFULLY BEFORE USING SAFENSOUND. THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION PROVISION AND A CLASS ACTION WAIVER IN SECTION 12 THAT AFFECT YOUR LEGAL RIGHTS. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Agreement to Terms

These Terms constitute a legally binding agreement between you (“you” or “User”) and SafeNSound LLC, a limited liability company (“SafeNSound,” “we,” “us,” or “our”). By accessing or using the SafeNSound website, mobile application, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Notice, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms with a new “Last Updated” date and, where practicable, by providing notice through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into these Terms, and that your use of the Service does not violate any applicable law or regulation.

3. Description of Service

SafeNSound is a public safety awareness tool that displays publicly available sex offender registry information on an interactive map. The Service aggregates data from publicly accessible government sex offender registries, including those made available through the National Sex Offender Public Website (NSOPW) and individual state, territorial, and tribal registries.

The Service displays approximate location indicators using a hexagonal grid overlay. SafeNSound does NOT display exact street addresses, does NOT provide navigation or directions to any individual, and does NOT allow user comments or annotations on any individual's listing.

The Service is provided solely for general public safety awareness. The Service is not a law enforcement tool, a consumer reporting agency, or a substitute for official government registries.

4. Data Accuracy Disclaimer and No-Warranty Provision

THIS SECTION CONTAINS IMPORTANT LIMITATIONS. PLEASE READ IT CAREFULLY.

4.1 No Guarantee of Accuracy

THE INFORMATION DISPLAYED THROUGH THE SERVICE IS DERIVED FROM PUBLICLY AVAILABLE SEX OFFENDER REGISTRY DATA MAINTAINED BY FEDERAL, STATE, TERRITORIAL, AND TRIBAL GOVERNMENT AGENCIES. SAFENSOUND DOES NOT INDEPENDENTLY VERIFY, CREATE, GENERATE, OR CONTROL THIS INFORMATION.

NO REPRESENTATION OR WARRANTY IS MADE THAT ANY PERSON DISPLAYED THROUGH THE SERVICE IS CURRENTLY REGISTERED AS A SEX OFFENDER IN ANY JURISDICTION. ALL DATA WAS GATHERED FROM PUBLIC GOVERNMENT SOURCES AND MAY REFLECT INFORMATION AS OF A PRIOR DATE. SOME INDIVIDUALS DISPLAYED MAY NO LONGER BE REGISTERED; OTHERS MAY HAVE BEEN ADDED TO REGISTRIES SINCE THE SERVICE'S DATA WAS LAST UPDATED. ADDRESSES, REGISTRATION STATUSES, OFFENSE CLASSIFICATIONS, AND OTHER DATA ELEMENTS MAY NOT BE CURRENT, COMPLETE, OR ACCURATE.

APPROXIMATE LOCATION INDICATORS DISPLAYED ON THE MAP ARE DERIVED FROM PUBLICLY AVAILABLE ADDRESS DATA AND ARE GENERALIZED TO A HEXAGONAL GRID AREA. THEY DO NOT REPRESENT EXACT LOCATIONS AND SHOULD NOT BE RELIED UPON AS PRECISE GEOGRAPHIC INFORMATION.

4.2 “As-Is” Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL INFORMATION, CONTENT, AND MATERIALS MADE AVAILABLE THROUGH THE SERVICE ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. SAFENSOUND EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AVAILABILITY, AND FREEDOM FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.

SAFENSOUND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE INFORMATION DISPLAYED WILL BE ACCURATE, COMPLETE, OR CURRENT.

4.3 User Verification Responsibility

You acknowledge and agree that you bear sole responsibility for independently verifying all information obtained through the Service by consulting the official sex offender registry maintained by the relevant state, territory, or tribal jurisdiction. Positive identification of any individual can be conclusively established only through fingerprint verification conducted by law enforcement. You agree not to rely on the Service as the sole basis for any decision or action.

4.4 No Reliance

You expressly acknowledge that you have been advised to verify all data through official government sources and that any reliance you place on information obtained through the Service is strictly at your own risk. SafeNSound shall have no liability for any loss, injury, claim, or damage arising from or related to your reliance on any information provided through the Service.

4.5 Jurisdictional Savings Clause

Some jurisdictions do not allow the exclusion of certain warranties or limitations on how long an implied warranty may last. To the extent such exclusions or limitations are not permitted by applicable law, the above exclusions and limitations may not apply to you. In such jurisdictions, SafeNSound's warranties and liability are limited to the minimum extent permitted by law.

5. Fair Credit Reporting Act Disclaimer

SafeNSound is NOT a “consumer reporting agency” as defined by the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. (“FCRA”), and the information available through the Service does NOT constitute a “consumer report” as defined by the FCRA. You shall not use any information obtained through the Service as a factor in (a) establishing an individual's eligibility for personal credit, insurance, or employment; (b) evaluating an individual for housing or tenant screening; (c) assessing an individual's eligibility for any license, benefit, or other purpose authorized under the FCRA; or (d) any other purpose governed by the FCRA. You understand that SafeNSound imposes these restrictions in order to comply with the FCRA and applicable state equivalents, and you agree to abide by them.

6. Prohibited Conduct

You agree that you will NOT use the Service or any information obtained through the Service to:

(a) Stalk, harass, threaten, or intimidate any person identified in a sex offender registry or any other person;

(b) Contact, confront, or approach any registered individual, their family members, or household members for any purpose related to that individual's registry status;

(c) Commit any crime or facilitate the commission of any crime, including but not limited to threats, intimidation, stalking, harassment, assault, vandalism, or property damage;

(d) Engage in vigilante conduct or take any extrajudicial action against any person based on information obtained through the Service;

(e) Vandalize, damage, or deface the property of any registered individual or any person associated with a registered individual;

(f) Discriminate against any person in housing, employment, education, public accommodations, or services based on information obtained through the Service, except as expressly authorized by applicable law;

(g) Publish, distribute, or disseminate registry information obtained through the Service in a manner intended to harass, threaten, endanger, or humiliate any person, or in a manner that materially misrepresents or embellishes the information as sourced from official registries;

(h) Scrape, crawl, or use automated means to access, collect, or store data from the Service, or attempt to bypass any security mechanisms, rate limits, or access controls;

(i) Use the Service for any commercial purpose without prior written authorization from SafeNSound, including but not limited to resale, sublicensing, or integration into any third-party product or service;

(j) Use the Service in any manner that violates any applicable federal, state, local, or tribal law or regulation, including but not limited to laws governing the use and dissemination of sex offender registry information.

VIOLATION OF THESE PROHIBITIONS MAY CONSTITUTE A CRIMINAL OFFENSE UNDER APPLICABLE STATE AND FEDERAL LAW (INCLUDING BUT NOT LIMITED TO STATE REGISTRY MISUSE STATUTES SUCH AS VIRGINIA CODE § 9.1-918, COLORADO CRS 16-22-111, AND SIMILAR PROVISIONS IN YOUR JURISDICTION) AND WILL RESULT IN IMMEDIATE TERMINATION OF YOUR ACCESS TO THE SERVICE. SAFENSOUND RESERVES THE RIGHT TO COOPERATE WITH LAW ENFORCEMENT AUTHORITIES IN THE INVESTIGATION AND PROSECUTION OF ANY SUSPECTED VIOLATIONS.

7. User Representations and Warranties

By using the Service, you represent and warrant that:

(a) You are at least 18 years of age;

(b) You will use the Service solely for lawful public safety awareness purposes;

(c) You will comply with all applicable laws and regulations governing the use of sex offender registry information in your jurisdiction;

(d) You will not use the Service for any purpose prohibited by Section 6 of these Terms;

(e) You will independently verify all information obtained through the Service before taking any action;

(f) You understand that the Service displays approximate location data, not exact addresses, and that you will not attempt to use this information to identify the precise location of any individual;

(g) All information you provide to SafeNSound is accurate and complete; and

(h) Your use of the Service will not violate any obligation you have to any third party.

8. Intellectual Property

The Service, including its design, layout, graphics, software, code, and all original content created by SafeNSound (excluding government registry data), is the property of SafeNSound LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

Nothing in these Terms grants you any right, title, or interest in the Service or any SafeNSound trademarks, service marks, or logos. Government registry data displayed through the Service remains in the public domain as provided by the originating government agencies.

9. Indemnification

You agree to defend, indemnify, and hold harmless SafeNSound LLC, its officers, directors, members, managers, employees, agents, and affiliates from and against any and all claims, actions, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

(a) Your violation of these Terms, including any prohibited conduct described in Section 6;

(b) Your misuse of information obtained through the Service;

(c) Your violation of any applicable law, regulation, or third-party right; or

(d) Any claim by a third party arising from your use of the Service.

This indemnification obligation survives termination of these Terms and your use of the Service. SafeNSound reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify SafeNSound, and you agree to cooperate with our defense of such claims.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) IN NO EVENT SHALL SAFENSOUND LLC, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, REPUTATION, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY INFORMATION OBTAINED THROUGH THE SERVICE, OR ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SAFENSOUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) SAFENSOUND'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICE, OR ANY INFORMATION OBTAINED THROUGH THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS ($100.00) OR (II) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO SAFENSOUND DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

(C) THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

(D) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LIMITATIONS ON THE DURATION OF IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

11. Third-Party Links and Services

The Service may contain links to official government sex offender registries or other third-party websites. SafeNSound does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party websites. Your interaction with any third-party website is governed by that third party's own terms and policies.

12. Dispute Resolution: Mandatory Individual Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL. IT ALSO LIMITS YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR SIMILAR PROCEEDING.

12.1 Informal Resolution First

Before initiating any formal dispute resolution proceeding, you agree to first contact SafeNSound in writing and attempt to resolve any dispute informally for at least sixty (60) days. Your written notice must include your name, a description of the dispute, and the specific relief sought. SafeNSound will attempt to resolve the dispute informally. If the dispute is not resolved within 60 days of receipt of the notice, either party may proceed to arbitration as set forth below.

12.2 Mandatory Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including the formation, existence, breach, termination, enforcement, interpretation, validity, or enforceability of these Terms), whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (“Dispute”), shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, as modified by this Section 12.

The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be in the county of your primary residence, or, at your election, may be conducted entirely by telephone, videoconference, or based on written submissions.

You and SafeNSound each waive the right to a trial by jury.

12.3 Class Action and Collective Relief Waiver

YOU AND SAFENSOUND EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR COLLECTIVE ACTION. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSIDER OR RESOLVE ANY CLAIM ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS, TO CONSOLIDATE CLAIMS OF DIFFERENT PERSONS, OR TO PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

If this class action waiver is found to be unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and shall proceed in a court of competent jurisdiction, while the remaining claims shall be arbitrated.

12.4 Mass Arbitration Procedures

If 25 or more similar arbitration demands are filed against SafeNSound by or with the assistance of the same law firm, group of law firms, or coordinated organization within a 90-day period (“Mass Filing”), the AAA's Mass Arbitration Supplementary Rules shall apply. In a Mass Filing, the parties agree to a bellwether process: the AAA shall randomly select up to 10 demands for individual arbitration (“Bellwether Arbitrations”). All other demands in the Mass Filing shall be stayed pending resolution of the Bellwether Arbitrations. Following the Bellwether Arbitrations, the parties shall engage in a single global mediation of all remaining demands. If mediation does not resolve remaining demands within 60 days, the remaining demands may proceed to individual arbitration in batches of no more than 50 at a time.

12.5 Arbitration Fees

SafeNSound will pay all AAA filing, administration, and arbitrator fees beyond the initial consumer filing fee required by the AAA's Consumer Arbitration Rules (currently $200 for hearing cases). If the arbitrator finds that your claim was frivolous or brought for an improper purpose, you agree to reimburse SafeNSound for all fees SafeNSound paid on your behalf.

12.6 Arbitrator's Authority

The arbitrator shall have exclusive authority to resolve all Disputes, including issues of arbitrability, and shall apply the substantive law of the state identified in Section 13 (Governing Law). The arbitrator may award any relief that a court of competent jurisdiction could award, including injunctive and declaratory relief, on an individual basis only. Any award rendered by the arbitrator may be entered and enforced in any court of competent jurisdiction.

12.7 Small Claims Court Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdictional limits of such court, provided the action remains in small claims court and is pursued on an individual, non-class, non-representative basis.

12.8 Injunctive Relief Exception

Nothing in this Section 12 shall preclude either party from seeking provisional or injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the completion of arbitration.

12.9 Opt-Out Right

You have the right to opt out of this arbitration provision. To opt out, you must send written notice to SafeNSound within thirty (30) days of your first acceptance of these Terms. Your opt-out notice must include your full name, the email address or username associated with your account (if any), and a clear statement that you wish to opt out of the arbitration provision. If you timely opt out, you will not be bound by this Section 12, but all other provisions of these Terms remain in full force and effect.

12.10 Survival

This Section 12 shall survive termination of these Terms and your use of the Service.

13. Governing Law and Forum Selection

These Terms and any Dispute shall be governed by and construed in accordance with the laws of the state of your primary residence at the time the Dispute arises, without regard to its conflict-of-law principles, except that the Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs the interpretation and enforcement of Section 12 (Arbitration).

For any Dispute not subject to arbitration (including actions for injunctive relief or Disputes following a valid opt-out), you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in New Castle County, Delaware, and you waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Termination

SafeNSound may terminate or suspend your access to the Service at any time, with or without cause and with or without notice. Without limiting the foregoing, SafeNSound will terminate or suspend your access immediately if SafeNSound reasonably believes you have violated Section 6 (Prohibited Conduct) of these Terms.

Upon termination, your right to use the Service immediately ceases. Sections 4 through 13, and any other provision that by its nature should survive, shall survive termination of these Terms.

15. General Provisions

15.1 Entire Agreement. These Terms, together with the Privacy Notice, constitute the entire agreement between you and SafeNSound with respect to the Service and supersede all prior agreements, understandings, and communications.

15.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

15.3 No Waiver. SafeNSound's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment. You may not assign or transfer these Terms or any rights hereunder without SafeNSound's prior written consent. SafeNSound may freely assign these Terms.

15.5 Force Majeure. SafeNSound shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, internet failures, or disruption of government data sources.

15.6 Statute of Limitations. Any claim arising under or related to these Terms must be commenced within two (2) years after the claim accrued. Any claim not brought within this period is permanently barred. This limitation applies to the fullest extent permitted by law.
